1. Introduction
These Beta and Pilot Terms (“Beta Terms”) govern your access to and use of any private beta, pilot evaluation, trial, or early-access features (the “Beta Services”) provided by Parakletos AI Limited (“Parakletos”, “we”, “us”, or “our”).
By participating in a pilot or accessing Beta Services, the Customer organisation (“Customer”, “you”, or “your”) agrees to these Beta Terms. These Beta Terms supplement the standard Vakyya Terms of Service and any Master Services Agreement or Design Partner Agreement executed between the parties.
2. Trial Parameters & Limits
Beta Services are provided to allow evaluation of new media processing and terminology preservation capabilities. The following parameters apply:
- Availability: Beta Services are experimental and may be modified, suspended, or discontinued by Parakletos at any time without notice. Availability and uptime are not guaranteed.
- Access Caps: Pilot access may be capped by usage, volume, turnaround time, review cycles, or operational capacity. We reserve the right to enforce or adjust these caps to manage system performance and costs.
- Accuracy: Workflow Outputs produced during a pilot may contain errors. The Customer must not rely on Beta Services outputs for regulated or consequential decisions without independent human review.
- Suspension: Parakletos may suspend or terminate beta access at any time for security events, suspected abuse, operational cost, legal compliance, or other business reasons.
3. Precedence & Custom Agreements
These Beta Terms are standard reference terms. Where a Customer has signed a specific Design Partner Agreement, Pilot Order Form, or Master Services Agreement, the terms of that signed agreement take precedence over these Beta Terms to the extent of any conflict.
4. No Public Marketing & Logo Protection
We respect your brand and the sensitivity of your workflows:
- No customer name, logo, testimonial, case study, content sample, or output may be used publicly without separate written approval.
- The Customer’s participation in a pilot, any feedback provided, and the content processed remain strictly confidential under Section 10 of the Terms of Service.
5. Feedback Licence
If you provide suggestions, feature requests, or quality feedback regarding the Beta Services:
- Parakletos may use and incorporate such feedback to improve the Services without restriction, fee, or obligation.
- The use of feedback does not grant Parakletos any rights to disclose Customer confidential information, Customer Content, or Workflow Outputs publicly without written consent.
6. Disclaimers
BETA SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. PARAKLETOS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF BETA SERVICES IS WITH THE CUSTOMER.
